RAILSTAFF PUBLICATIONS LIMITED (RPL) TICKET BOOKING TERMS AND CONDITIONS

Once purchased, tickets cannot be transferred, exchanged, refunded or returned unless the event is cancelled, moved to another date, or if details of the event are significantly changed after an order is placed (significant changes being a change of venue, change of date and time or if a venue is closed unexpectedly for any reason).

In the event of the cancellation of an event by the organiser / promoter (ie a cancellation due to circumstances beyond RPLs control), RPL will only refund the face value of the ticket. RPL will use best endeavours to contact purchasers either by phone, email or in writing (using the details provided by the purchaser at the time of ordering) and advise them to return the tickets. Please note, however, it is the customer's responsibility to check whether the event is going ahead at the scheduled date, time and venue, and RPL cannot guarantee that they will inform the customer of any changes to the event date, time or venue.

We advise the use of secure mail when returning tickets as RPL will not take responsibility for lost or undelivered tickets. On receipt, RPL will refund the customer the face value of the tickets using the same method as used to purchase them.

If an event is moved from its advertised venue and / or the date is changed, tickets already purchased may remain valid should the customer wish to attend the revised event. If not, RPL will refund the face value of the tickets only when the ticket holder requests and returns the tickets before the event has occurred. RPL will notify all purchasers by phone, email or in writing (using the details provided at the time of ordering) to advise on the validity of the tickets and the procedure for obtaining a refund. Refund requests will usually be accepted up until 1 week prior to the revised event, or 3 days after notification of the change (whichever is the later) unless otherwise notified. In the event of a change at short notice (within 1 week of the event) RPL will notify purchasers of the conditions that apply, and offer a refund, if these are not agreeable. Please note, however, it is the customer's responsibility to check whether the event is going ahead at the scheduled date, time and venue, and RPL cannot guarantee that they will inform the customer of any changes to the event date, time or venue.

Should the headline artist not appear or if the line up or content is substantially changed from the advertised line up or content, then RPL will refund the face value of the tickets.

If RPL is unable to fulfill an order for any of the reasons below the customer will be entitled to a full refund, including any booking fee charged:

RPL despatch your order to the wrong address and cannot provide replacement tickets

RPL do not despatch your order and do not arrange for the tickets to be available for collection

Any other similar circumstances where RPL has acted with negligence or where we may have acted in breach of contract

Customers are advised to check their purchase upon receipt.

It is the responsibility of the customer to inform RPL of any change of address, contact phone number or email address, both before and after receipt of the goods. Please note that our preferred method of contact for customers booking online is by email, so care should be taken to provide a current, valid email address.

The right to admission to an event or attraction is reserved by the promoter and event venue or attraction, who may take health and safety, environmental and security concerns into account at their reasonable discretion, and may from time to time carry out security searches. RPL would advise customers that no refunds will be offered to customers who are refused entry or ejected from a venue or attraction on account of late arrival, being (or appearing to be), abusive, threatening, drunken or other antisocial behaviour (including smoking in no smoking areas), carrying offensive weapons or illegal substances, declining to be searched, or making unauthorised audio, video or photographic recordings.

If it becomes impractical to post tickets out, due to the proximity of an event or circumstances beyond our control, we reserve the right to make tickets available for collection at the venue or attraction immediately prior to the event. Customers will be notified by phone, email or in writing (using the details provided at the time of ordering) if this becomes necessary.

By ordering you agree that the tickets are for the personal use of you and your party only, and will not be resold or transferred. Any resale or attempt to resell the tickets at a price higher than purchased will result in your orders being cancelled without prior notification.

You consent to being part of the filming, sound recording and photography of the Event and grant RPL the right to use, and allow others to use, in perpetuity all or any part of such film, sound recording and/or photograph of yourself by any means in all media worldwide.

If tickets that are despatched are returned to RPL as "addressee unknown", we reserve the right to cancel the order.

In order to prevent fraud and to protect both parties, you may be asked to provide additional information after your booking so that we can verify your purchase.

RPL reserves the right to limit the amount of tickets available to the individual booker.

We will not share your personal information for marketing or any other purposes without your consent unless where required by law.


RAILSTAFF PUBLICATIONS LIMITED (RPL) SPONSORSHIP TERMS AND CONDITIONS

BETWEEN:

RailStaff Publications Limited, Whose principle place of business is at Rail Media House, Samson Road, Coalville, Leicestershire, LE67 2FP, United Kingdom

and

The Sponsor

BACKGROUND:

A. RailStaff Publications Limited specialises in the production of publications, websites, events and conferences for the global rail industry.

B. Sponsor wishes to provide support for a particular event in return for which RailStaff Publications Limited will provide sponsor with a range of marketing opportunities and other services.

TERMS:

RailStaff Publications Limited and Sponsor agree as follows:

1. Definitions

1.1 In this agreement “Affiliate” means a company from time to time Controlling, Controlled by or under common Control with the relevant party to this agreement. “Control” means the ultimate power to determine the direction of the management policies of such party, either directly or indirectly and whether through the ownership of voting securities, by contract or otherwise. “Effective Date” means the date on which this agreement is executed by the parties. “Intellectual Property Rights” means patents, trade marks, service marks, trade and service names, copyrights, database rights and design rights (whether or not any of them are registered and including applications for registration of any of them), rights in know-how, moral rights, trade secrets and rights of confidence; all rights or forms of protection of a similar nature or having similar or equivalent effect to any of them which may subsist anywhere in the world at the date of this Agreement or in the future.

1.2 In this agreement:

(a) references to clauses and schedules are references to clauses in or schedules to this document unless the context otherwise requires;

(b) headings shall be ignored in construing this agreement

(c) references to the words “includes”, or “including” shall be construed without limitation to the generality of the proceeding words.

(d) references to 'persons' includes natural persons, firms, partnerships, companies, corporations, associations, organisations, governments, states, foundations and trusts (in each case whether or not having separate legal personality);

(e) use of the singular includes the plural and vice versa; and

(f) use of any gender includes the other genders

2. Appointment of Sponsor RailStaff Publications Limited will appoint the named sponsor of the specified report or reports as agreed in writing.

3. Provision of Services

RailStaff Publications Limited will provide sponsor with the services in connection with the event as set out in the event Media Pack.

4. Event Date

4.1 RailStaff Publications Limited will use all reasonable endeavors to ensure the event is put on as published.

5. Charges

5.1 Sponsor shall pay to RailStaff Publications Limited the charges set out in Schedule 5 and pay any VAT properly levied on those charges.

5.2 Sponsor will pay all invoices for the charges within thirty days or their receipt.

5.3 Interest will be charged on sums overdue before and after judgement at the rate of 2% over the base rate of Barclays Bank Plc applicable at the relevant time calculated on a daily basis from the date payment was due until the payment is received and the interest will be compounded monthly.

5.4 Upon agreeing to sponsoring an event in writing, Sponsor understands and agrees to the sponsorship proposal that is outlined, and agrees to pay the sum stated in writing to RailStaff Publications Limited in consideration of services rendered. This payment is to be received 30 days after invoicing.

6. Term and Termination

6.1 The agreement will start on the given date specified in writing and will continue until each party has discharged its obligations under the agreement unless terminated by either party in accordance with clause 6.2.

6.2 Either party may terminate the Agreement with immediate effect by giving written notice to the other:

6.3 (a) if the other has committed a material breach of the Agreement and has failed to remedy of cure that breach within thirty (30) days of receiving written notice requiring rectification of the breach from the party not in the breach; or

(b) if the other ceases or disposes of its business, or threatens to do so or if, the other being a partnership, an application is made for its dissolution or it is dissolved or if the other, being a company, partnership or individual, begins, is party to, consents to, or is otherwise subject to, proceedings under the law relating to bankruptcy, distress, receivership, insolvency or the relief of creditors or enters into arrangements benefiting its creditors.

6.3 Termination of the Agreement shall not affect the accrued rights or liabilities of the parties arising out of the Agreement as at the date of the termination and all provisions which are expressed to survive this Agreement or by which by implication do so shall remain in force and effect.

7. Warranties, disclaimers and limitations of liability

Each of RailStaff Publications Limited and the Sponsor warrant that: (a) it has the right, power and authority to enter into and all rights necessary to perform its obligations under the agreement; and (b) it will comply with all laws and other governmental, statutory, regulatory and other requirements which may from time to time be applicable, including but not limited to any such laws or requirements relating to the acquisition, storage, use and dissemination of personal subject data

7.2 Except as set out in the Agreement, all representations, warranties, terms and conditions, oral or written, express or implied by (i) statute, (ii) common law or (iii) otherwise, are excluded.

7.3 The liability provisions in the Agreement do not apply to (I) death or personal injury resulting from negligence, (ii) breach of the obligations arising from section 12 of the Sale of Goods Act 1979 or (iii) fraud or deceit in relation to which no restriction or constraint applies to RailStaff Publications Limited or Sponsor.

7.4 RailStaff Publications Limited will not be liable in contract or tort or otherwise for (i) loss of profits, business or anticipated savings, or losses from wasted management time, whether such losses are direct or indirect; or (ii) any indirect losses including but not limited to the indirect losses described in 7.4 (I) above, however such direct or indirect losses may arise may arise and even if Sponsor has been advised of the possibility of such direct or indirect losses.

7.5 The aggregate amount of RailStaff Publications Limited liability which may arise out of or in connection with the Agreement, whether in contract or in tort or otherwise, will be in respect of all incidents or series of incidents occurring in any one Contract year, be limited to the charges paid by Sponsor.

8. Intellectual property

8.1 Sponsor Acknowledges that all Intellectual Property Rights in the materials supplied by RailStaff Publications Limited and other business participants in the event are the property of RailStaff Publications Limited or such participants or their respective licensors.

8.2 RailStaff Publications Limited and Sponsor agree that either party may make accurate informational references to the other parties trademarks, service marks, and trade names in connection with the performance of this Agreement, including without limitation, references in promotional materials, notices and advertisements for the report, subject for the following:

8.3 (a) RailStaff Publications Limited and Sponsor acknowledge that nothing contained herein shall give either party any interest in any trade name, trademark or service mark owned by the other party;

(b) RailStaff Publications Limited and Sponsor shall promptly cease any use of any trade name, trademark or service mark owned by the other party upon termination of this Agreement for any cause; and

(c) In the event that either party makes references to the other party's trade name, trademark or service mark that are inaccurate or otherwise incorrect, then the owner may notify the other party of the necessary correction(s) and the party receiving such notice shall implement such corrections as soon as reasonably practicable.

9. General

9.1 Sponsor may not assign any of its rights or obligations under the Agreement without the prior written consent of RailStaff Publications Limited. A merger, consolidation, or sale of all the assets, business or securities, of Sponsor shall be deemed to be an assignment of the agreement by operation of law.

9.2 The sponsors written confirmation constitutes a non-cancelable, binding contract with RailStaff Publications Limited. This agreement will be construed in accordance with and governed by the law of England and Wales and the parties submit to the exclusive jurisdiction of the Courts of England and Wales.
